Terms of Service

What you can expect from Vergilant, and what we need from you. Plain terms, and the honest limits of a monitoring tool.

The agreement

These terms are between you and Arajen Kajanthirabalan ("Vergilant", "we"). By creating an account or sending traffic through our proxy, you accept them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

What the service does

Vergilant is a proxy that sits between your application and your AI provider. It forwards your requests, records metadata about them, and sends you an alert when a rule you configured is breached — a rising error rate, a spending spike, or a pipeline that has gone quiet.

What it is not

Vergilant is a smoke detector, not a guarantee. Alerts depend on our service running, on your alert channel accepting delivery, and on the rules you configured being the right ones. Delivery can be delayed or fail for reasons outside our control, including outages at Discord, your email provider, or your AI provider.

Do not rely on Vergilant as your only safeguard against runaway spend or failing calls. Keep spending limits with your AI provider, and treat our alerts as one layer among several. We are not liable for costs you incur because an alert did not arrive.

Your account

You need a confirmed email address to create projects. You are responsible for keeping your password and project keys secret, and for everything done through your account. Tell us promptly if you think either has been exposed; you can rotate a project key at any time by deleting the project and creating a new one.

Your API keys and your data

You keep ownership of everything you send. You are responsible for having the right to send it, and for complying with the terms of your own AI provider — routing calls through Vergilant does not change your agreement with them.

Your provider API key passes through our proxy so we can forward your request. We do not store it. You may revoke it with your provider at any time, which stops the service working but costs you nothing here.

Acceptable use

You agree not to:

  • Use Vergilant for anything unlawful, or to send content you have no right to send.
  • Attempt to access another customer's account, projects, or data.
  • Work around plan limits, share one project key across separate businesses, or resell the service as your own.
  • Deliberately overload the proxy, or use it as a general-purpose relay for traffic that is not AI API calls.

We may suspend an account that is causing harm to the service or to other customers. Where we can, we will contact you first.

Plans, billing and refunds

The Free plan is free, with the limits shown on our pricing page. Pro is billed in advance through Stripe, monthly or yearly, and renews automatically until cancelled.

You can cancel at any time from the billing portal. Cancellation takes effect at the end of the period you have already paid for, and you keep Pro features until then. We do not pro-rate partial periods.

If Vergilant has not worked as described and we cannot put it right, write to us and we will refund the current period. We would rather refund you than argue.

We may change prices, but not for a period you have already paid for. Existing subscribers get at least 30 days' notice by email before a change applies to them.

Availability

We aim to keep Vergilant running continuously, but we do not offer a service level agreement, and the service is provided "as is". We will take the service down for maintenance when we need to, and we will avoid doing it without warning where we reasonably can.

If our proxy is unavailable, your application's calls to it will fail. Design your integration so that a failure to reach Vergilant does not take down your own product.

Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss, for lost profits or revenue, or for AI provider costs you incur while using the service. Our total liability for any claim is limited to what you paid us in the twelve months before it arose.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Consumers keep every right their local law gives them.

Ending it

You can close your account at any time in Account settings, which deletes your data as described in the Privacy Policy. We may end this agreement if you materially breach these terms and do not fix it within 14 days of us asking, or immediately where the breach is serious.

Changes to these terms

We may update these terms. For material changes we will email you at least 30 days before they take effect, and continuing to use Vergilant after that means you accept them. If you do not, cancel and we will refund the unused part of your current period.

Governing law

These terms are governed by the laws of Ontario, Canada, and the courts of Ontario have jurisdiction — except that if you are a consumer, you may bring proceedings where you live.
